I love that all are alike and different, both at the same time. The general legal issues that are inherent in the capital structures and intellectual property based assets of companies in the world are consistent from company to company, but the application of those issues to the wide variety of businesses and business models we see makes working with these companies fascinating and fun. They’re like giant puzzles with no instructions and no obvious right way to put them together.

Representative Experience: I have a good exposure to fintech transactions, having represented companies of all sizes. I recently assisted WEX, a NYSE-listed corporate payments company, in its $530 million acquisition of Evolution1, a healthcare payments solutions company, and Litle & Co, a card-not-present credit card processor in its $360 million sale to Vantiv. I also represent LoopPay, a new and exciting payments technology company. I’ve helped clients raise lots of funds. The smallest fundraise that I’ve been involved with is a $25,000 bridge note and the largest is a $4.4 billion double hedged convertible note with for an international medical devices company.

Launch Moment: The closing of any sale transaction with a positive outcome. My very favorite was a friend-turned-into-client (mostly I have clients-turned-into-friends so this was itself a twist) who sold the business he was CEO of after huge anguish over selling his life’s work, only to tell me later that it was the best move ever.

Favorite App: Any apps that my clients have developed. They range from a grocery delivery app to a webchat app to an ecommerce platform offering products by African craftspeople (and that has increased the sellers annual income by a factor of 7), and a large number in between.

Daily Reads: Wired and The Economist. Wired is uniquely American and the Economist is refreshingly global.

Off the Clock: I enjoy being outdoors with my wife and kids.

Funny Story: Since I have acted as my own lawyer on occasion, I can’t tell a funny story on myself without breaching attorney-client privilege.
